1. Who we are

2. Your account
You must be 18+ and authorized to represent your business. Keep your sign-in credentials private. You are responsible for everything done under your account. If you spot unauthorized access, tell us at security@agora-virtual.com within 24 hours.
3. What we provide
- AI-driven matching of your business to government and corporate contract opportunities.
- AI-generated artifacts (capability statements, redlines, proposal drafts) — clearly labeled as drafts.
- Teaming Marketplace + Industry Tools catalog + Federal Readiness Score.
- Email alerts when matches cross your selected threshold.
4. What we do NOT do
- We do not submit proposals on your behalf. You always submit. Our drafts are starting points.
- We do not guarantee any contract win.
- We do not provide legal, accounting, or licensed-professional services. Our AI Coach + Copilot offer general guidance, not advice you can rely on for specific decisions.
5. Plans, billing, and refunds
- Free plan: free forever. No card required.
- Paid plans bill in advance via Stripe. Your billing date is the day you first paid; the same day each subsequent period.
- Metered overage (e.g. extra Proposal Factory drafts) accumulates throughout the period and is invoiced at the next renewal.
- Cancel anytime in your customer portal. You keep access through the end of the period you paid for. No prorated refunds for partial months.

6. Your data and ours
You own everything you put into Mycontracts: your business profile, saved contracts, notes, proposal drafts, capability statements, AI Room threads. You grant us a non-exclusive license to process that data to provide the service and (optionally) to improve the platform anonymously.
We own the platform itself — the code, the AI prompts and tools, the contractor identity graph (we built it), and aggregated anonymized intelligence. Your individual business identity stays yours.

7. Acceptable use
In short:
- No scraping our platform or its content.
- No reselling, sublicensing, or white-labeling without a written agreement.
- No using Mycontracts AI to mass-generate fraudulent or bad-faith proposals.
- No reverse-engineering, model-extracting, or prompt-injection attacks.
- No content that violates US, Mexican, or applicable local law (sanctioned-party dealings, etc.).

8. AI outputs — read this carefully
Our AI outputs (matches, scores, redlines, proposal drafts, coach replies, agency briefs, etc.) are generated by large language models. They can be wrong, incomplete, or out of date. You are responsible for reviewing any output before you rely on it — particularly anything you put into a real proposal. Treat AI outputs as a smart first draft, not a finished product.
9. Suspension and termination
We may suspend or terminate your account if you violate these terms or applicable law. We will email you a description of the reason and give you a reasonable opportunity to cure (except for security or legal emergencies). You may cancel at any time via the customer portal.
10. Disclaimers
The service is provided "as is", without warranty of any kind. To the maximum extent permitted by law, Mycontracts disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of or related to this agreement is capped at the amount you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or contracts you did or did not win.
12. Indemnification
You agree to defend and indemnify Mycontracts against any third-party claim arising from your use of the platform, your data, your business activity, or your violation of these terms.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law principles. Any dispute will be resolved by binding arbitration in Chicago, Illinois under JAMS rules, except either party may seek injunctive relief in any court of competent jurisdiction. You waive class-action rights. (If you are a Mexican consumer, mandatory consumer-protection law in your jurisdiction overrides this section to the extent required.)
14. Changes to these terms
We may update these terms. Material changes get 30 days notice by email to your primary contact. Continued use after the effective date means acceptance.
